Main Objectives
Assist the General Counsel - the farmer in providing legal services to the company; business partner management; Address legal inquiries related to telecommunications companies, labor relations, taxation, financing, and operation.
Main Responsibilities
- Identify legal risks and help companies navigate them, and provide innovative, compliant solutions that deliver a competitive advantage to business objectives considering compliance, reputation, cost, risks, and other consequences.
- Advise the various functions: general administration, operations, human resources, finance, engineering, research, and development on legal obligations under the relevant statutory statutes, relevant legislation, and regulations on topics such as governance frameworks.
- Develop and maintain relationships with relevant external contacts (for example, external lawyers, registrars, regulators, external bodies, etc.);
- General review of legal contracts and other legal documents.
- Manage contract records, land documents, litigation files, and other legal documents submitted to the Legal Department for safekeeping.
- Litigation Support – Represent Unilever in court hearings and seek outside counsel to provide value for legal fees paid.
- Facilitate proper legal documentation and litigation process witnesses responsible for litigation update reports.
- Facilitate the availability of laws and regulations related to the investigation of the company's operations and the revision of the laws and regulations that govern advising the company on all changes in laws and regulations.
- Manage the company's lease portfolio Notify the functions related to the expiration of leases, facilitate the renewal and termination of leases and facilitate the payment of rents and fees.
- Provision of company secretarial services for the company.
- Prepare the decisions of the Board of Directors and the minutes of the meetings of the Board of Directors and of the annual general assemblies.
- Advise the finance team on the information and disclosure requirements required by the Companies Act and other relevant laws.
- Organize company meetings, meetings of the board of directors, and meetings of the subcommittees of the board.
- Ensure the presentation of annual declarations and resolutions related to the appointment and resignation of directors and trustees.
- Update company records and manage the use of the company seal.
- Sequencing and knowledge of COBP and COBP policies and assurance of regulatory knowledge and training.
- Ensure visibility and/or access to COBP and the various reporting channels for employees, contractors, and vendors.
- COBP compliance among Unilever employees, customers, contractors, and suppliers.
- Case management in the case management system: register, update, and close cases.
- Attend designated disciplinary hearings.
- Ensure implementation of the Code's standard of sanctions when making decisions on Code cases.
- Full responsibility for all Code investigations, including preparing investigation plans, proposing sanctions, and closing cases with the Business Intelligence Committee.
- Support the head of the local Business Integrity Committee with agendas, minutes, reports, and follow-up.
- Engage with (domestic) acquisitions and high-risk third parties to ensure third party compliance with relevant policies and regulations; Y
- Provide other customs legal and compliance services as needed from time to time.
Related experience
- Bachelor of Laws (LLB)
- Invitation to the Bar Association (Member of the Tanganyika Law Society and current practice certificate)
- Five (5) years post-call experience in corporate/business law practice or relevant work experience
